Terms of Service

Please read these Terms carefully before using the AgilityOS platform. By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Agility OS platform, website, APIs, or any related services (collectively, the "Service") provided by Agility Automations, Inc. ("Agility OS," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not access or use the Service. We reserve the right to modify these Terms at any time (see Section 22).

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent and warrant that:

You meet the minimum age requirement.
You have the legal capacity to enter into a binding agreement.
Your use of the Service does not violate any applicable law or regulation.
You are not located in a country subject to a U.S. government embargo or sanctions program.

3. Account Registration and Security

To access most features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your password secure and confidential.
Notify us immediately at support@agilityautomations.com of any unauthorized use of your account.
Accept responsibility for all activity occurring under your account.

We reserve the right to disable any account at our discretion if we determine that you have violated these Terms or if your account poses a security risk.

4. Description of Service

Agility OS provides AI-powered business automation tools, including but not limited to:

AI recommendation and operations agents
Conversational AI chatbots and interfaces
Voice-enabled AI agents
Analytics dashboards and reporting
Third-party integration management
API access for programmatic use

The Service is provided on an "as is" and "as available" basis. Features and functionality may change over time. We will provide reasonable notice of material changes to core functionality.

5. Subscriptions, Billing, and Payment

5.1 Subscription Plans

The Service is offered on a subscription basis. By selecting a paid plan, you authorize us to charge the applicable fees to your designated payment method on a recurring basis (monthly or annually, as selected).

5.2 Billing Cycle and Charges

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You are responsible for all fees associated with your account, including applicable taxes. All charges are non-refundable except as set forth in Section 5.4.

5.3 Price Changes

We may change subscription prices at any time. We will provide at least 30 days' notice of price increases via email or in-app notification. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5.4 Refund Policy

We offer a 14-day money-back guarantee for new subscribers on paid plans. If you are unsatisfied for any reason within the first 14 days of your initial subscription, contact support@agilityautomations.com for a full refund. After 14 days, fees are non-refundable. Refunds are not available for partial billing periods or add-on services consumed.

5.5 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment remains outstanding after reasonable retry attempts, we may suspend or downgrade your account until payment is resolved. You remain liable for all outstanding amounts.

5.6 Free Trials

If we offer a free trial, you must provide valid payment information to begin the trial. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid plan and you will be charged accordingly.

6. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable federal, state, local, or international law or regulation.
Transmit or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
Infringe the intellectual property rights of others.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Upload or transmit viruses, malware, or other malicious code.
Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any systems or networks connected to the Service.
Use automated means (bots, scrapers, crawlers) to access the Service in a manner that places unreasonable load on our infrastructure.
Engage in any activity that interferes with or disrupts the integrity or performance of the Service.
Use the Service to generate, distribute, or facilitate spam, phishing, or fraudulent communications.
Use the Service to develop competing products without our written consent.
Circumvent any usage limits, access controls, or rate limiting mechanisms.
Use the Service in connection with any illegal activity, including money laundering or financing terrorism.

7. User-Generated Content

7.1 Your Content

You retain ownership of any content, data, files, prompts, or materials you submit to the Service ("User Content"). By submitting User Content, you grant Agility OS a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

7.2 Content Standards

You represent and warrant that your User Content:

Does not violate these Terms or any applicable law.
Does not infringe the intellectual property, privacy, or other rights of any third party.
Is not false, misleading, defamatory, or discriminatory.
Does not contain personal data of third parties without their consent.
Does not constitute or facilitate illegal activity.

7.3 Content Moderation

We reserve the right (but not the obligation) to review, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We may also report illegal content to law enforcement authorities.

7.4 No Sensitive Personal Data

Do not submit special categories of personal data (as defined under GDPR Article 9), including health, racial/ethnic origin, political opinions, religious beliefs, genetic data, biometric data, or sexual orientation, unless we have expressly authorized such use in writing.

8. AI-Generated Content

The Service uses large language models and other AI technologies to generate content, recommendations, and outputs ("AI Output"). You acknowledge and agree that:

AI Output is generated automatically and may contain errors, inaccuracies, or outdated information.
AI Output does not constitute professional, legal, medical, financial, or other expert advice.
You are solely responsible for reviewing, validating, and verifying AI Output before acting on it.
We do not guarantee the accuracy, completeness, or reliability of any AI Output.
AI Output may vary between uses even with identical inputs.
You must not use AI Output to make high-stakes decisions (e.g., medical diagnoses, legal proceedings) without appropriate expert human review.

9. Third-Party API Keys and Integrations

You may provide API keys or credentials for third-party services (e.g., OpenAI, Google, CRM platforms) to enable integrations. By doing so, you:

Represent that you have the right and authority to use such keys.
Agree that your use of third-party services complies with the respective provider's terms of service.
Authorize us to store and use such keys solely to provide the integration services.
Acknowledge that we encrypt stored keys using industry-standard methods (AES-256-GCM).
Accept that you are responsible for any costs incurred through the use of your third-party API keys via the Service.
Agree to notify us immediately if any key is compromised.

10. Intellectual Property

10.1 Our Intellectual Property

The Service and all associated content, technology, software, algorithms, design, trademarks, trade names, and branding are owned by Agility Automations, Inc. or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, license, reverse engineer, or create derivative works of any part of the Service without our prior written consent.

10.2 Feedback

If you submit feedback, suggestions, or ideas to us regarding the Service ("Feedback"), you grant us an irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback without any obligation to you.

10.3 DMCA / Copyright Notice

If you believe that content on the Service infringes your copyright, please send a notice to support@agilityautomations.com containing: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material, (c) your contact information, (d) a statement of good faith belief, and (e) your signature. We will respond to valid DMCA takedown notices promptly in accordance with the Digital Millennium Copyright Act.

11. Privacy

Your use of the Service is subject to our Privacy Policy, available at agilityos.ai/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

12. Confidentiality

Each party may have access to confidential information of the other party. Each party agrees to: (a) keep the other party's confidential information strictly confidential; (b) not disclose confidential information to third parties without prior written consent; and (c) use confidential information only for purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

13. Service Level and Availability

We strive to provide the Service with high availability, but we do not guarantee uninterrupted, error-free operation. Scheduled maintenance will be communicated in advance where reasonably practicable. We are not liable for downtime caused by circumstances beyond our reasonable control, including but not limited to natural disasters, third-party service outages, cyberattacks, or government actions.

14. Beta Features

From time to time, we may offer access to beta or experimental features ("Beta Features"). Beta Features are provided "as is" without any warranties. We may discontinue, modify, or change access to Beta Features at any time without notice. Your use of Beta Features is at your sole risk.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, OR BE FREE OF ERRORS OR INACCURACIES. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY AGILITY OS OR ITS AUTHORIZED REPRESENTATIVES SHALL CREATE ANY WARRANTY.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL AGILITY OS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO AGILITY OS IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

17. Indemnification

You agree to defend, indemnify, and hold harmless Agility Automations, Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Service; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) your violation of any applicable law.

18. Termination

18.1 Termination by You

You may terminate your account at any time by contacting support@agilityautomations.com or through your account settings. Termination does not entitle you to a refund except as described in Section 5.4. You remain liable for all charges incurred before termination.

18.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for: violation of these Terms, non-payment, fraudulent or abusive behavior, or legal requirements. We will endeavor to provide reasonable notice where possible.

18.3 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately; (b) we may delete your data in accordance with our data retention policy; (c) provisions that by their nature should survive will survive, including Sections 8, 10, 15, 16, 17, 19, and 20.

19. Dispute Resolution and Arbitration

19.1 Informal Resolution

Before initiating formal dispute proceedings, you agree to first contact us at support@agilityautomations.com to attempt informal resolution. We will make reasonable efforts to resolve disputes informally within 30 days.

19.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the United States, in English, and the arbitrator's decision shall be final and binding. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

19.3 Class Action Waiver

YOU AND AGILITY OS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. You may only bring individual claims. This waiver does not apply where prohibited by applicable law.

19.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, and claims within the jurisdiction of small claims court may be brought in that court.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Agility OS regarding the Service and supersede all prior agreements.

21.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

21.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

21.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

21.5 Force Majeure

We will not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, government actions, internet or infrastructure outages, or third-party service failures.

21.6 Notices

We may provide notices to you via email, in-app notification, or by posting on the Service. You must send legal notices to support@agilityautomations.com.

22. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will:

Update the "Last updated" date above.
Send an email notification to the address associated with your account.
Display a prominent in-app notice.

Changes take effect on the date stated in the notice. Your continued use of the Service after changes are effective constitutes acceptance. If you do not agree with the updated Terms, you must stop using the Service and may cancel your account.
